1. Scope and Applicability
1. These AI Terms apply only to optional AI Features and related AI-generated, AI-assisted, or automated outputs, responses, recommendations, summaries, translations, classifications, annotations, analyses, or similar materials ("Outputs").
2. These AI Terms do not govern background, operational, support, maintenance, security, troubleshooting, or product improvement processing described in the Terms, even if such processing uses artificial intelligence, machine learning, or other automated technologies.
3. AI Features may include, by way of example only, document analysis, summarization, translation, recommendations, drafting assistance, classification, extraction, support tools, or other automated or AI-assisted functionality made available by QA Assistant LLC.
2. Opt-In Requirement
1. AI Features are optional and require affirmative enablement, initiation, access, or use by you or your Account Administrator(s).
2. By enabling, initiating, accessing, or using any AI Feature, you expressly authorize and consent to the processing described in these AI Terms.
3. If an Account Administrator enables, initiates, or authorizes an AI Feature for an Account, all Users of that Account remain responsible for use of the AI Feature in accordance with the Terms and these AI Terms.
3. AI Data; Processing and Transmission
1. For purposes of these AI Terms, "AI Data" means only the Content, prompts, inputs, documents, excerpts, metadata, instructions, configurations, and related information submitted, transmitted, generated, or made available in connection with an AI Feature.
2. You authorize QA Assistant LLC to host, copy, process, transmit, store, analyze, reproduce, transform, reformat, display, and otherwise use AI Data as reasonably necessary to provide, operate, maintain, secure, support, improve, monitor, and enforce the applicable AI Feature.
3. This processing may include use of internal systems, automated technologies, and third-party AI or cloud service providers engaged in connection with the applicable AI Feature.
4. AI Data may be processed, transmitted, and stored in the United States and other jurisdictions where QA Assistant LLC or its providers maintain facilities, personnel, or infrastructure.
5. EU Notice. Where applicable, processing of personal data in connection with AI Features shall be subject to applicable data protection law. You are responsible for ensuring that you have all rights, permissions, notices, consents, and other lawful bases necessary to submit any personal data or other protected data for processing through AI Features.
4. Third-Party AI Providers
1. AI Features may rely on third-party providers, models, infrastructure, APIs, platforms, or related services.
2. QA Assistant LLC does not control and is not responsible for the acts, omissions, outputs, availability, performance, security, legality, or data handling practices of third-party AI providers except to the extent required by non-waivable law.
3. Your use of AI Features may be subject to additional third-party terms, policies, or technical limitations made available by or through the applicable provider or integration.
4. QA Assistant LLC may add, remove, replace, or change third-party AI providers or models at any time in its discretion.
5. User Responsibilities and Restricted AI Data
1. You represent and warrant that you have and will maintain all rights, permissions, authorizations, consents, and legal authority necessary to submit AI Data and to authorize its processing in connection with AI Features.
2. You are solely responsible for your AI Data, your use of AI Features, your review and validation of Outputs, and your compliance with all applicable laws, regulations, contractual duties, confidentiality obligations, and internal policies.
3. You must not submit to an AI Feature any AI Data that you do not have the legal right to submit for that purpose.
4. Without limiting the foregoing, unless expressly authorized by QA Assistant LLC in writing and unless all applicable legal and contractual requirements are satisfied, you must not submit:
   • export-controlled data or information subject to sanctions restrictions
   • regulated, sensitive, or protected data where use of the AI Feature is not authorized for such data
   • data restricted by confidentiality, nondisclosure, employment, customer, supplier, or similar obligations
   • personal data where you lack an adequate lawful basis or required notices, permissions, or consents
   • any content that violates the Terms or applicable law
6. Outputs; Review and Validation
1. Outputs may be inaccurate, incomplete, outdated, inconsistent, non-unique, misleading, biased, or inappropriate for your intended use.
2. Outputs may resemble or repeat content, language, ideas, formats, or materials generated for other users or derived from third-party sources.
3. You are solely responsible for independently reviewing, validating, and determining the suitability of all Outputs before relying on, publishing, sharing, exporting, sending, filing, implementing, or acting on them.
4. Outputs do not constitute legal, regulatory, engineering, quality, compliance, safety, medical, financial, tax, or other professional advice, and do not replace independent human judgment, review, approval, or verification.
5. You acknowledge that use of AI Features may affect the form, language, organization, or substance of Outputs and that Outputs may change over time for the same or similar inputs.
7. No Warranty
1. AI Features and Outputs are provided "as is," "as available," and "with all faults."
2. To the maximum extent permitted by law, QA Assistant LLC disclaims all express, implied, statutory, and other warranties, representations, conditions, commitments, and guarantees regarding AI Features and Outputs, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, reliability, security, availability, performance, compliance, satisfactory quality, and results.
3. QA Assistant LLC does not warrant that any AI Feature or Output will meet your requirements or expectations, be uninterrupted, timely, secure, error-free, available at any particular time, or suitable for any regulated, contractual, customer-facing, or high-risk use.
4. Mandatory Law Savings. Nothing in these AI Terms excludes or limits any warranty, condition, right, or remedy that cannot be excluded or limited under applicable law.
8. Limitation of Liability
1. To the maximum extent permitted by law, QA Assistant LLC shall not be liable for any indirect, incidental, special, exemplary, punitive, enhanced, or consequential damages, or for any loss of profits, revenue, business, goodwill, use, data, content, savings, opportunity, reputation, or confidential information, arising out of or related to any AI Feature, any Output, any third-party AI provider, or these AI Terms, even if advised of the possibility of such damages.
2. Without limiting the foregoing, QA Assistant LLC shall not be liable for any damages, claims, or losses arising from or related to inaccurate, incomplete, misleading, non-unique, or unavailable Outputs; decisions or actions taken or not taken based on Outputs; your AI Data; third-party AI providers; or your failure to independently review and validate Outputs.
3. Except to the extent prohibited by applicable law, all liability arising out of or relating to AI Features or Outputs is limited as set forth in the Terms, regardless of the cause of action or theory of liability.
4. EU Notice. This section applies only to the extent permitted by applicable law.
9. Availability; Changes; Suspension; Discontinuation
1. AI Features may be added, modified, suspended, restricted, replaced, rate-limited, or discontinued at any time, with or without notice, and without liability, except to the extent prohibited by applicable law.
2. QA Assistant LLC does not guarantee continued availability of any particular AI Feature, model, provider, configuration, workflow, Output format, or level of performance.
3. Outputs and feature behavior may change over time, including for identical or similar inputs.
10. Conflict with Terms
1. These AI Terms supplement the Terms and are incorporated into and form part of the Terms.
2. If there is a conflict between these AI Terms and the Terms, these AI Terms control solely with respect to AI Features and Outputs within their scope. In all other respects, the Terms control.
